These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and TaxiSathi ("Company", "we", "us", "our"), the owner and operator of the TaxiSathi platform. By registering, accessing, or using the TaxiSathi platform, mobile application, website, or any associated services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue your use of the Platform.
TaxiSathi operates exclusively as a technology-based B2B marketplace platform designed to facilitate communication, coordination, and collaboration between travel agents and taxi operators/drivers. TaxiSathi does not itself provide transportation services, employ drivers, or act as a travel agency.

For the purposes of these Terms, the following terms shall have the meanings assigned below:
3.1. TaxiSathi is a technology marketplace platform that enables Travel Agents to post transport requirements, enables Taxi Operators and Drivers to view and accept such requirements, provides communication tools and digital features, and offers optional subscription-based access to premium features.
3.2. TaxiSathi is NOT:
3.3. All transportation services are independently provided by Drivers and Operators at their own risk, responsibility, and discretion. Users are solely responsible for service quality, vehicle fitness, all applicable permits and insurance, and full compliance with all applicable laws.
4.1. By accessing or registering on the Platform, you confirm that you are at least 18 years of age, legally competent to enter into a binding contract as per the Indian Contract Act, 1872, and if registering on behalf of a business entity, you have the authority to bind that entity to these Terms.
4.2. During registration, you agree to provide accurate, complete, and up-to-date registration and KYC information, maintain the confidentiality of your login credentials, and accept full responsibility for all activities conducted through your account.
4.3. TaxiSathi reserves the right to verify any information provided, request additional documents, and suspend or terminate any account found to have provided false, misleading, or incomplete information.
5.1. Access to certain features of the Platform may require the payment of a subscription fee or prepaid wallet balance, as described in TaxiSathi's applicable pricing plans.
5.2. All subscription fees and wallet balances paid by Users are non-refundable except as expressly stated in TaxiSathi's Refund & Cancellation Policy or as required by applicable law.
5.3. TaxiSathi does not collect, manage, process, or facilitate any trip fare or Customer-facing payment. All fare payments occur directly between Customers and Drivers/Travel Agents, entirely outside the Platform.
5.4. TaxiSathi's maximum financial liability to any User shall in no event exceed the total subscription fees actually paid by that User during the relevant subscription period or the unused wallet balance at the time of the claim.
5.5. TaxiSathi provides no warranty, guarantee, or assurance regarding any User's business outcomes, volume of bookings, income generation, or the availability of Drivers or Travel Agents on the Platform.
6.1. The standard booking workflow on the Platform: A Travel Agent posts a transport requirement; a Taxi Operator or Driver views and chooses to accept the booking; and the applicable commission, if any, is handled directly between the Driver and the Travel Agent outside the Platform unless a payment facilitation feature is specifically enabled.
6.2. The full trip fare or booking amount is decided and settled exclusively between the Customer and the Driver/Travel Agent. TaxiSathi does not collect, control, or settle trip fares and bears no liability for non-payment, under-payment, or fare-related disputes.
6.3. Commission disputes between Travel Agents and Drivers are matters strictly between those Users. TaxiSathi is not a party to, arbitrator of, or guarantor for such disputes.

9.1. TaxiSathi will issue GST-compliant invoices solely for its own platform and subscription fees.
9.2. Each User, acting as an independent business or service provider, is solely responsible for assessing their own GST liability, obtaining GST registration where required, and charging, collecting, and depositing all applicable taxes on trip fares, commissions, and any other consideration received.
9.3. TaxiSathi shall not be liable for any non-compliance, under-reporting, or tax evasion by any User.
10.1. TaxiSathi is not responsible for: acts, omissions, misconduct, delays, or cancellations by any User; vehicle condition, safety, roadworthiness, or permits; Customer complaints, accidents, injuries, damages, or losses arising before, during, or after a trip; disputes between Travel Agents and Taxi Operators/Drivers; or non-fulfilment of any commitment made between Users.
10.2. All risks associated with use of the Platform and any subsequent interactions with other Users are assumed solely by the User. TaxiSathi shall not be liable for any indirect, consequential, punitive, exemplary, special, or incidental damages.
11.1. All rights, title, and interest in the Platform, including software, interface design, graphics, trademarks, trade names, content, and proprietary materials, belong exclusively to TaxiSathi.
11.2. Users are granted a limited, revocable, non-exclusive, non-transferable license to use the Platform strictly in accordance with these Terms.
11.3. Users shall not copy, modify, distribute, sell, sublicense, or otherwise exploit any part of the Platform or its content without prior written consent from TaxiSathi.
12.1. Use of the Platform is also governed by TaxiSathi's Privacy Policy, which explains how we collect, use, store, and protect your personal data.
12.2. By using the Platform, you consent to TaxiSathi's data practices as described in the Privacy Policy, which is incorporated into these Terms by reference.
13.1. The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
13.2. TaxiSathi does not warrant that the Platform will be uninterrupted, error-free, or secure at all times; information posted by Users will be accurate, complete, or reliable; any particular volume of bookings, business, or income will be generated for any User; or the conduct, capability, or suitability of any Travel Agent, Taxi Operator, or Driver.
13.3. TaxiSathi disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14.1. To the maximum extent permitted by applicable law, TaxiSathi shall not be liable for: loss of profit, revenue, goodwill, or business opportunity; indirect, consequential, punitive, or special damages of any kind; any loss or dispute relating to trip fares, cancellations, delays, or service quality; or any tax, penalty, fine, or legal claim imposed on any User.
14.2. In any event, TaxiSathi's aggregate liability arising from or related to a User's use of the Platform shall be limited to the total subscription fees actually received by TaxiSathi from that User in the three (3) months immediately preceding the event giving rise to the claim.
Each User agrees to indemnify, defend, and hold harmless TaxiSathi, its directors, officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's misuse of the Platform; (b) disputes with other Users or Customers; (c) any breach of these Terms; (d) the User's violation of any applicable law or regulation; or (e) any tax non-compliance by the User.
16.1. TaxiSathi reserves the right to suspend or terminate a User's account, with or without notice, in the event of any breach of these Terms, fraudulent or harmful conduct, non-payment of subscription fees, or any requirement of law, regulation, or payment partners.
16.2. Upon termination, the User shall lose access to the Platform and shall not be entitled to any refund of subscription fees unless specifically required by applicable law.
16.3. All obligations incurred by a User prior to termination, including any outstanding payments, indemnification obligations, or liabilities, shall survive termination of the account.
17.1. When accessing or downloading the TaxiSathi application from the Google Play Store or Apple App Store, you also agree to comply with the applicable store's Terms of Service.
17.2. Google LLC and Apple Inc. are not responsible for the operation, performance, content, or availability of the TaxiSathi Platform and are not parties to these Terms.
17.3. Users agree not to modify, reverse-engineer, or interfere with app distribution systems and agree not to distribute the TaxiSathi app outside of authorised app stores.
18.1. These Terms shall be governed by and construed in accordance with the laws of India.
18.2. All disputes arising out of or in connection with these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in India.
18.3. TaxiSathi may, at its discretion, recommend amicable resolution or mediation for disputes between Users, but shall not be obligated to act as arbitrator or guarantor for any such dispute.
19.1. TaxiSathi reserves the right to revise, modify, or update these Terms at any time, with or without prior notice.
19.2. Revised Terms will be published on the Platform. Continued use of the Platform after such revisions are posted shall constitute the User's acceptance of the updated Terms. Users are encouraged to review these Terms periodically.
These Terms, together with any policies referenced or linked herein (including the Privacy Policy, Refund & Cancellation Policy, and any other published guidelines), constitute the entire agreement between the User and TaxiSathi regarding the use of the Platform and supersede all prior understandings, representations, or agreements.
